Terms & Conditions
Last updated 28 October 2026
1. ABOUT THESE TERMS
1.1. These terms apply to every order for fabric, wallpaper, trimmings, cushions, lampshades and other products supplied by Flora Soames Fabrics Limited ("Flora Soames", "we", "us"), whether the order is placed through our website, by email, by telephone, in our showroom or through one of our showrooms or agents. Flora Soames Fabrics Limited is registered in England and Wales under company number 10441700, with its registered office at Unit 3 Chaldicott Barns, Semley, Shaftesbury, Dorset SP7 9AW. Our VAT number is GB 324 0224 55.
1.2. These terms do not apply to interior design services provided by Flora Soames Limited, which are governed by the contract for each project.
1.3. These terms apply to trade clients and to consumers. You are a consumer if you are an individual buying wholly or mainly for your own personal use, and not for your trade, business or profession or through a trade account. Section 14 sets out additional terms for consumers. Nothing in these terms affects your statutory rights as a consumer.
1.4. These terms apply in place of any terms in your purchase order or other documents, unless we have agreed otherwise in writing. Where we have a separate signed agreement with you, such as a showroom or agency agreement, that agreement takes precedence where it differs from these terms.
1.5. Our shipping and returns page gives practical guidance. Where it differs from these terms, these terms apply.
1.6. References to "writing" or "in writing" include email. You can contact us at sales@florasoames.com or on +44 (0)1747 445650.
2. YOUR ORDER AND OUR CONTRACT
2.1. Our proforma invoice is our offer to sell you the goods described on it, on these terms. A proforma invoice is valid for 14 days. Where it reserves stock, the reserve is released after 14 days if the proforma has not been paid.
2.2. Payment of the proforma invoice (or of any deposit stated on it) confirms your order and accepts our offer. The proforma invoice and these terms together form the contract between us. For orders placed through our website, the contract is formed when we send you an order confirmation by email.
2.3. Please check your proforma invoice carefully before you pay it, including the design, colourway, base cloth, quantity, delivery address and shipping basis. If anything is not as you intended, please tell us before you pay. We will always correct errors we have made, but we cannot accept responsibility for errors in details you have given us, or for orders placed by telephone and not confirmed in writing.
3. PRICES AND PAYMENT
3.1. Prices are as stated on the proforma invoice. Trade prices exclude VAT. Delivery, packaging and any duties are charged separately unless the proforma invoice states otherwise.
3.2. Unless the proforma invoice states otherwise, orders are payable in full, in cleared funds, before we cut fabric, place an order into production or dispatch goods.
3.3. All payments are due without deduction or set-off. Where we have agreed in writing that a trade client may pay after dispatch, payment is due by the date stated on the invoice, and we may charge interest on late payment under the Late Payment of Commercial Debts (Interest) Act 1998.
3.4. Ownership of the goods passes to you only when we have received payment in full, in cleared funds.
4. LEAD TIMES AND DELAYS
4.1. Items in stock are usually dispatched within 2 to 3 working days of payment and confirmation of all order details.
4.2. Many of our fabrics and wallpapers are printed, woven or dyed for each order by specialist makers, using traditional and largely hand-finished methods. The lead time we give you for these is our good-faith estimate, based on the makers' current production schedules. It is not a guaranteed date. Occasionally a batch has to be re-dyed, re-woven or re-printed, for example because of a flaw in the weaving or a colour that does not meet our standards, and this can add time. We will tell you as soon as we know of any delay.
4.3. Lead times run from the later of (a) receipt of payment in full, or of any deposit stated on the proforma invoice, and (b) confirmation of all order details, including cut lengths, colourways and the delivery address.
4.4. Orders may occasionally be delayed. A delay in production, dispatch or delivery does not entitle you to cancel your order, to reject the goods or to claim compensation, except as set out in clause 4.5.
4.5. If we have not dispatched made-to-order goods within 6 weeks after the estimated dispatch date on your proforma invoice, you may cancel the undispatched goods by telling us in writing, and we will refund what you have paid for them. This does not apply where the delay is caused by you, for example by late payment or late confirmation of order details, or by a request to hold dispatch.
4.6. We are not responsible for delays or failures caused by events outside our reasonable control, including delays by carriers and customs authorities.
5. CANCELLATIONS AND CHANGES
5.1. Once your order has been confirmed under clause 2.2, it cannot be cancelled or changed, except where we agree in writing. This does not affect a consumer's right to cancel under section 14.
5.2. Once fabric or wallpaper has been cut from stock, or an order has been placed into production with our makers (including printing, weaving or dyeing yarn for your order, or making up cushions, lampshades or other made-to-measure items), the order cannot be cancelled or changed in any circumstances, and no refund will be given.
5.3. Before that point, please contact us in writing if you need to cancel or change an order. Where we agree to a cancellation or change, we may charge for costs we have already incurred and for our reasonable handling costs.
6. DELIVERY AND INTERNATIONAL ORDERS
6.1. We deliver to the address on your proforma invoice. You are responsible for giving us a complete and correct delivery address, together with a telephone number and email address at which the carrier can reach the recipient. If delivery cannot be made to that address, we will charge for the return and redelivery.
6.2. For trade clients, the goods are at your risk from the time they are handed to the carrier or collected. For consumers, the goods are at your risk from the time they are delivered to you or to someone you have nominated.
6.3. Your proforma invoice states the shipping basis for international orders.
(a) Duties unpaid. Unless your proforma invoice states that duties are paid, international orders are shipped duties unpaid. You, or the consignee you nominate, are the importer of record and are responsible for all import duties, taxes, tariffs and customs clearance charges.
(b) Duties paid. Where your proforma invoice states that duties are paid, we act as importer of record and the duties and tariffs in force at the date of the proforma invoice are included in the price shown.
6.4. Customs clearance on duties unpaid orders. When your shipment reaches the destination country, the carrier or customs authority will contact you directly, not us, to arrange payment of duties and taxes. They may ask you for identification, such as a tax identification number or, for individuals in the United States, a social security number. Carriers will usually discuss clearance only with the importer, so we cannot clear the goods on your behalf. You must respond promptly to the carrier and customs authority, provide any information they ask for, and pay any charges due. If you have not heard from the carrier within 2 working days of dispatch, please contact them directly using the tracking number we send you. We will help where we can, but clearing the goods is your responsibility.
6.5. Shipping times are estimates. Time spent in customs, including time while the carrier or customs authority is waiting for information or payment from you, is outside our control. It does not count as a delay by us, and it does not entitle you to cancel the order or reject the goods.
6.6. Goods that are not cleared, collected or accepted. If goods are held or returned to us because import duties or taxes have not been paid, because you did not respond to the carrier or customs authority, because you refused delivery, or because delivery could not be made to the address you gave us:
(a) your order is not cancelled, and the price remains payable;
(b) you must reimburse any charges the carrier or customs authority bills to us as a result, including duties, taxes, storage, return shipping and disposal charges;
(c) we will hold returned goods for you, and will redeliver them once you have paid the costs of the original shipment's return and the cost of redelivery (and, where we ask, any duties in advance); and
(d) if you have not arranged redelivery within 30 days of our written notice, we may treat the order as cancelled by you and resell or otherwise dispose of the goods. For made-to-order goods (including fabric and wallpaper printed, woven or dyed for your order), and for cut or personalised goods, no refund will be given. For other goods, we will refund the price you have paid, less our costs of shipping in both directions, any carrier, customs and storage charges, and our reasonable handling costs.
6.7. If you ask us to delay dispatch, or do not take delivery within 14 days of us telling you that your goods are ready, we may charge reasonable storage costs, and clause 6.6(d) applies after 30 days' written notice.
7. INSPECTION AND CLAIMS
7.1. Please inspect all goods immediately on delivery, and in every case before cutting, making up, treating or hanging them. Where goods are delivered directly to your upholsterer, curtain maker, lampshade maker, decorator or other maker, it is your responsibility to make sure that they check the goods against your order before starting work.
7.2. Please tell us in writing, with your order number and photographs, within 3 working days of delivery if any goods are damaged, defective or not in accordance with your order. Please tell us within 5 working days of the estimated delivery date if goods have not arrived.
7.3. If you do not tell us within 3 working days of delivery, the goods will be treated as accepted by you as delivered in accordance with your order and free from any damage or defect that a reasonable inspection would have shown.
7.4. No claim can be accepted for goods that have been cut, made up, treated or hung, except for a defect that could not reasonably have been found by inspection before that point.
7.5. If we have supplied the wrong goods, or goods that are faulty, and you have told us within the period in clause 7.2, we will replace them or, if we cannot, refund the price paid for them, and we will pay the reasonable cost of returning them. We are not responsible for the costs of making up, fitting, hanging or any other work carried out on goods that were not checked against the order before that work began.
7.6. Returns. We do not accept returns of goods that are free from faults and were supplied in accordance with your order, unless we have agreed otherwise in writing. This does not affect a consumer's right to cancel under section 14.
7.7. Lengths and pieces. Our mills and makers sometimes supply fabric in more than one piece, so we may supply the total length you have ordered in two or more pieces. If you need a single continuous length, for example for curtains or for upholstery where a join is not possible, please tell us before you pay, and we will confirm on the proforma invoice whether we can supply it. Unless a single length is confirmed on the proforma invoice, supplying the order in more than one piece is not a fault and does not entitle you to reject the goods. If a single length has been confirmed and we then find that we cannot supply it, we will tell you before dispatch, and you may cancel that item for a full refund.
7.8. Fabrics and wallpapers made by hand vary naturally from batch to batch, and from samples and images on screen. Hand-printed and hand-woven designs will show small irregularities, which are part of their character and are not faults. Where colour matching matters, we recommend ordering the full quantity at once and requesting a cutting for approval (CFA), which is available for orders of 5 metres or more.
8. USE, CARE AND PERFORMANCE
8.1. Suggested uses are recommendations only. The suitability of a fabric or wallpaper for a particular use is the responsibility of the client and their maker, and we recommend confirming with your upholsterer or maker before ordering whether a backing, interlining or treatment is needed. It is also the responsibility of the client and their maker to ensure that the finished item meets any fire safety regulations that apply.
8.2. We are not responsible for changes in appearance or performance caused by treatments applied after purchase, such as flame retardant or stain repellent treatments, or by backings, linings or treatments chosen by your maker.
8.3. Where we describe a fabric as stain resistant or water resistant, this means that it resists staining or water to a degree. It does not mean that it is stain proof or waterproof. Sun cream, oils, food, drink, tree sap and similar substances may stain any fabric permanently if not removed promptly.
8.4. Outdoor fabrics. Outdoor fabrics should be cleaned promptly when marked, covered or brought indoors when not in use and in wet weather, and stored clean, dry and ventilated. Some fading over time in strong sunlight is normal. We cannot accept claims for staining, mould, mildew, fading or wear resulting from use, exposure to the weather, cleaning or storage.
8.5. Please follow the cleaning and care guidance for each product. Natural fibres may shrink or fade when cleaned, and we cannot accept claims for shrinkage or fading caused by cleaning.
8.6. Wallpaper. Where rolls carry a batch number, please check that all rolls in your order carry the same one. Please hang a single drop and check the colour and pattern match before hanging the rest. We cannot accept claims once more than one drop has been hung, or for shortages or damage caused during hanging. We recommend ordering at least one extra roll, as a later batch may not match exactly.
9. FURNITURE, UPHOLSTERY AND OTHER MADE GOODS
9.1. This section applies to furniture, upholstery, cushions, lampshades and other goods made to order for you, in addition to the rest of these terms.
9.2. Specification. Before we place your order into production, we will confirm the specification, including dimensions, design, fabric and finishes, on the proforma invoice or in a drawing. Please check it carefully. Payment of the proforma invoice, or your written approval of the drawing, confirms the specification. We are not responsible for goods made to measurements or a specification that you have given or approved.
9.3. Handmade variation. Made goods are finished by hand. Small variations in dimensions, finish and the placement of a pattern are normal and are not faults. We will place and match patterns as closely as the design and the item allow.
9.4. Delivery and access. It is your responsibility to check that the goods can be delivered to and into the room intended, including doorways, stairs, corridors and lifts, and to tell us of any access restrictions before dispatch. If goods cannot be delivered because of access, the costs of return, storage and redelivery are payable by you, and this does not entitle you to cancel the order.
10. SAMPLES
10.1. Samples are provided for guidance only, and an exact match between a sample and the delivered goods cannot be guaranteed.
11. OUR DESIGNS
11.1. All our designs are protected by copyright and other intellectual property rights owned by or licensed to us. They may not be reproduced, copied or adapted without our written consent.
12. OUR LIABILITY
12.1. Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.
12.2. For trade clients, and subject to clause 12.1, we are not liable for any loss of profit, loss of business or indirect or consequential loss, and our total liability in connection with an order is limited to the price paid for the goods concerned.
12.3. For consumers, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these terms. We are not responsible for loss that was not foreseeable, and we supply goods to consumers for domestic and private use only.
13. GENERAL
13.1. We may update these terms from time to time. The terms in force on the date of your proforma invoice, or of your website order, apply to your order.
13.2. If any part of these terms is found to be unenforceable, the rest remains in effect.
13.3. These terms are governed by the law of England and Wales. Trade clients agree that the courts of England and Wales have exclusive jurisdiction. Consumers may also bring proceedings in the courts of the part of the United Kingdom in which they live.
14. ADDITIONAL TERMS FOR CONSUMERS
14.1. Your right to cancel website and distance orders. If you buy goods from us without visiting our showroom (for example through our website, by email or by telephone), you may cancel the contract within 14 days of the day you receive the goods, without giving a reason, under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. To cancel, please tell us in writing within that period.
14.2. This right does not apply to fabric cut to length, wallpaper printed or cut to your order, goods made to measure or to your specification, or personalised goods (including signed books).
14.3. If you cancel, you must return the goods to us within 14 days of telling us, unused and in their original condition, and you pay the cost of returning them. We will refund the price and the standard delivery charge within 14 days of receiving the goods back. We may reduce the refund to reflect any reduction in the value of the goods caused by handling them more than was necessary to examine them.
14.4. Goods bought in person in our showroom cannot be returned unless they are faulty.
14.5. If goods are faulty or not as described, you have rights under the Consumer Rights Act 2015, and clause 7 (including the 3 working day period in clauses 7.2 and 7.3) does not limit those rights. We would still ask you to tell us as soon as possible, and before cutting or making up, so that we can put things right quickly.
